Job Description
<Job Responsibilities> - Assist in providing legal advice to domestic and foreign businesses on fundamental aspects of Vietnamese law under the supervision of senior lawyers. - Conduct legal research and participate in legal due diligence for share or capital acquisition transactions in specific industries. - Draft and review basic legal documents related to transactions (e.g., memorandum of understanding, share/asset sale and purchase agreements, capital assignment agreements, capital subscription agreements, shareholders’/members’ agreements), following guidance from senior lawyers. - Support negotiation processes by preparing documentation and recording contractual terms and conditions. - Assist with legal procedures related to foreign investment in Vietnam (establishment of business entities, capital contribution or share purchase, investment project registration, business cooperation contracts), including preparing applications and liaising with authorities. - Support licensing procedures for conditional business lines applicable to foreign-invested companies, as well as obtaining relevant sub-licenses. - Conduct research and analysis on dispute cases involving contractual rights and obligations, intellectual property infringement, etc.; assist in communications with counterparties and coordinate with local law firms for court-related procedures. - Handle day-to-day legal matters arising from clients’ business operations under retainer agreements. - Maintain client relationships at a supportive level, working closely with senior lawyers to ensure service quality.
Job Requirement
<Necessary Skill / Experience > ・Age: 30~35 years old ・Gender: Any ・Education: At least a Bachelor's Degree (major in Law) ・Language: Japanese - Business Level (JLPT N2 or above) and English - Conversational Level - Able to provide legal consulting to Japanese clients in Japanese, including drafting client-facing emails and similar communications (JLPT N2 or above); fluent in Vietnamese. Excellent drafting skills in English (or Japanese) and Vietnamese; ・Experience: - Be qualified as a Vietnamese lawyer; - Have at least 1 year of Post-Qualified Experience and at least 5 years of legal consulting experience at foreign-invested companies or law firms; - Have previous experience working at international or leading domestic law firms; - Have extensive experience in drafting/reviewing general corporate and commercial contracts, joint venture agreements, employment contracts, mergers & acquisitions matters, lease agreements, loan agreements, license agreements, etc.; - Corporate experience involving cross-border transactions; - Strong technical, client relationship, and commercial skills; - Able to work independently, but also able to work as part of a bigger team and supervise more junior lawyers; - Able to manage workload, control pressure, and handle multiple tasks; and - Work in an organized and methodical manner. <Preferable Skill / Experience> - Japanese drafting skills are a plus
